In fulfilment of the provisions of paragraph 2 of Article 27 of Royal Decree 1197/1991, of
July 26th, the Spanish Securities & Exchange Commission reports that the partial takeover
bid formulated by Banco Santander Central Hispano, S.A. on a maximum number of 42,811,991
shares of Compañía Española de Petróleos, S.A. has had a positive result, as a total of
32,461,948 shares were tendered in this bid, representing 75.82% of the shares on which
the offer was made and 12.13% of the share capital of the company involved, and taking into
account that the outcome of the bid was not conditional on the acquisition of a minimum
number of shares.
